Course objectives supported by learning outcomes
The aim of the subject is to acquiant students with basic terms and sources of the commercial law and emerged position and legal behaviour of an entrepreneur. There is also taken account not only of corporate law but also of common business obligations emerged from business contracts. Students will also be acquiant with the basis of procedural law which is related to the procedure of the court in business matters. Graduates master basic terms of commercial, corporate and procedural law, they are able to draft commercial contracts and they are able to understand plc and cooperatives.
Syllabus
  • 1. Conception, subject and system, sources of commercial law.
  • 2. Enterpreneur, business and company.
  • 3. Conception and sources of trade law.
  • 4. Transaction of enterpreneurs, procuration, mercantile papers.
  • 5. Corporate law, principles of corporate law, company protection.
  • 6. Trade register, publicity principle, trade register classification, subjects and data entered into the TR.
  • 7. Economic competition, unfair competition, abuse of the attendance at competition.
  • 8. Companies, conception, characteristics, floatation, individual forms, conception and end of a company.
  • 9. Public Company, Commandite, Limited Liability Company, PLC (Corporation).
  • 10. Cooperative.
  • 11. Business contractual relationships , fundamental principles , division of engagements , rise, beginning, change and end of engagements.
  • 12. Secured obligation- liability, banking guarantee, recognition of an obligation, stipulated damages.
  • 13. Contract of purchase and fixed job contract according to Commercial code, liability for defects in business relations.
